GENERAL TERMS AND CONDITIONS OF PURCHASE (VER 2020:1)

To the extent not otherwise specified in an agreement between the customer (“Customer”) and Period Pack Sweden AB org no. 559200-1084 (“Period Pack”), the following general terms and conditions apply.

The term “Customer” refers to the legal or natural person who has ordered Period Pack’s products. The Customer and Period Pack are collectively referred to as the “Parties” or individually as a “Party”.

Period Pack’s services and products

  1. Period Pack sells dispensers for tampons (“Product”).
  2. Ordering of the Product is done through an order form on the website or through a written order form. Upon ordering the Product, an order confirmation is sent to the Customer. The order is binding as soon as the order confirmation has been sent.

Delivery

Delivery is made DDP – Delivered Duty Paid (Incoterms 2020), which means that Period Pack bears the risk and covers all costs until the goods are delivered to the delivery address specified by the Seller.

Price and payment

  1. Payment must be made no later than fifteen (15) days after the invoice has been issued. The invoice can be sent via email or as a paper invoice in the mailbox.

  2. In case of delayed payment, Period Pack is entitled to statutory interest according to Section 6 of the Interest Act.

Assembly

  1. The customer is responsible for the assembly and disassembly of the Product.
  2. Period Pack offers assembly of the Product for an additional cost.
  3. Assembly and disassembly should be carried out according to the accompanying instructions. If the Product is to be mounted on a tiled wall, the assembly and disassembly should be performed by an authorized installer. Period Pack is not responsible for any damages that may occur to the wall or any other mounting surface during assembly and disassembly.
  4. The customer agrees to install the Product in a manner that prevents damage or destruction during assembly or disassembly.

Warranty

Period Pack provides a 1-year warranty upon purchase of the Product.

Usage

Period Pack does not take responsibility for damages or illnesses caused by incorrect use of the Product. Period Pack cannot guarantee the dispenser’s full functionality unless the tampons recommended by Period Pack are used.

Complaints and Statute of Limitations

The customer must submit a written complaint regarding Period Pack’s breach of contract within 30 days after the breach has been discovered or should have been discovered. If the written complaint is not made within the specified time, the customer loses the right to invoke the breach of contract. If the customer does not submit a complaint within two years from the date of receiving the goods, the customer loses the right to invoke the defect.

Force majeure

Period Pack is not liable for damages or otherwise responsible if the agreed-upon performance is hindered by circumstances beyond Period Pack’s control and which Period Pack could not reasonably have foreseen at the time of entering into the agreement or when the performance was carried out, and whose consequences Period Pack could not reasonably have avoided or overcome.

Liability

  1. Period Pack is not liable for indirect damages, such as loss of profit, loss of production, delivery delays, or other economic consequential losses.
  2. Period Pack’s liability for contractual breaches, unless caused by intent or gross negligence, is limited to an amount corresponding to one (1) base amount according to the Social Insurance Code (2010:110).
  3. Period Pack is only liable for damages to the customer’s property caused by Period Pack through intent or gross negligence. The amount of compensation is limited to an amount corresponding to one (1) base amount according to the Social Insurance Code (2010:110).

Period Pack is not liable for property damage or personal injury caused by incorrect use of the Product and its accessories.

 

Processing of Personal Data

Period Pack processes personal data in accordance with Period Pack’s privacy policy, which is an integral part of these general terms and conditions and can be found on the website www.periodpack.com.

Dispute

  1. Swedish law shall apply to these general terms and conditions and to the contractual relationship between Period Pack and the customer.
  2. Any disputes arising from the contractual relationship between Period Pack and the customer shall be settled by a Swedish court of general jurisdiction.

General Terms and Conditions for Dispenser Rental (version 2020:1)

To the extent not otherwise specified in an agreement between the lessee (“Lessee”) and Period Pack Sweden AB org no. 559200-1084 (“Period Pack”), the following general terms and conditions apply.

With “Lessee,” it refers to the legal or natural person who has ordered Period Pack’s services. The Lessee and Period Pack are collectively referred to as the “Parties” or individually as a “Party.”

Period Pack’s services and products Period Pack rents out dispensers for tampons (“Rental Object”) with refills according to a subscription package (“Subscription”) selected by the customer. The Subscription entails Period Pack delivering tampons to the Lessee based on the selected subscription package. Ordering of the service is done through an order form on the website or through a written order form. Upon ordering the service, an order confirmation is sent to the Lessee. The order is binding as soon as the order confirmation has been sent.

Delivery

Delivery is made DDP – Delivered Duty Paid (Incoterms 2020), which means that Period Pack bears the risk and covers all costs until the goods are delivered to the delivery address specified by the Seller.

Price and payment

  2. The Subscription is paid quarterly.
  3. In case of delayed payment, Period Pack is entitled to statutory interest according to Section 6 of the Interest Act.

  1. The Lessee is responsible for the assembly and disassembly of the Rental Object.
  2. Period Pack offers assembly of the Rental Object for an additional cost.
  3. Assembly and disassembly should be carried out according to the accompanying instructions. If the Rental Object is to be mounted on a tiled wall, the assembly and disassembly should be performed by an authorized installer. Period Pack is not responsible for any damages that may occur to the wall or any other mounting surface during assembly and disassembly.

The Lessee agrees to install the Rental Object in a manner that prevents damage or destruction during assembly or disassembly.

Warranty

If the Rental Object is damaged during the subscription period, Period Pack will replace it at no extra cost. The damaged Rental Object should be returned to Period Pack within fifteen (15) days from the Lessee becoming aware of the damage. Period Pack undertakes to replace one (1) faulty dispenser per year free of charge.

Care, Use, etc. of the Rental Object

6.1. During the rental period, the Lessee shall take good care of the Rental Object so that its condition does not deteriorate more than what is considered normal wear and tear.

  1. Period Pack does not take responsibility for damages or illnesses caused by incorrect use of the Rental Object. Period Pack cannot guarantee the dispenser’s full functionality if Period Pack’s tampons are not used.
  2. The Lessor is responsible for ensuring that the Rental Object is insured throughout the rental period, and the insurance should also cover the rental activity.

Complaints and Limitation Period

The Lessee shall make written complaints regarding any breach of contract by Period Pack within thirty (30) days from the discovery or should-have-discovered date of the breach. Failure to submit a written complaint within the specified time frame will result in the Lessee losing the right to invoke the breach. The Lessee’s right to invoke defects in the Rental Object ceases on the day the agreement terminates.

Force Majeure

Period Pack shall not be liable or responsible in any way if the performance of the agreed-upon services is hindered by circumstances beyond Period Pack’s control, which Period Pack could not reasonably foresee at the time of the agreement or at the time of performance, and whose consequences Period Pack could not reasonably avoid or overcome.

Ownership

    1. The Rental Object remains the property of Period Pack throughout the subscription period. The Lessee does not acquire any ownership rights to the Rental Object based on the contractual relationship.
    2. The Lessee shall not pledge, sell, grant rights to, or otherwise dispose of the dispenser or alter, attempt to alter, or destroy it, either personally or through a third party. The Lessee shall also not remove any trademarks, signs, or other markings on the dispenser.

Responsibility

  1. Period Pack is not liable for indirect damages, such as loss of profit, loss of production, delivery delays, or any other economic consequential loss.

Term, Extension, and Termination of the Subscription

  1. The subscription period starts from the delivery of the Rental Object to the Lessee and ends on the date that falls six (6) months after the actual delivery date. The subscription must be terminated in writing. If written notice is not given at least one month before the end of the subscription period, the subscription will automatically be extended for three (3) months, each time on unchanged terms.
  2. The Lessee can upgrade or downgrade the subscription at any time. Such a request should be made in writing to Period Pack.
  3. Upon termination of the subscription, the Lessee must return the Rental Object within fourteen (14) days after the termination of the agreement. If the Lessee fails to return the Rental Object within this period, Period Pack will invoice the Lessee an amount equivalent to the cost of purchasing the number of dispensers that were rented.

Early Termination

Period Pack has the right to immediately terminate the subscription:

a) If the Lessee significantly fails to fulfill its obligations under the agreement and does not remedy the breach within five (5) days after written notice from Period Pack. b) If the Lessee is declared bankrupt or is otherwise presumed to be insolvent.

Processing of Personal Data

Period Pack processes personal data according to the provisions stated in Period Pack’s privacy policy, which is an integral part of these general terms and conditions and can be found on the website www.periodpack.com.

Dispute

    1. Swedish law shall apply to these general terms and conditions and the contractual relationship between Period Pack and the Lessee.
    2. Disputes arising from the contractual relationship between Period Pack and the Lessee shall be settled by a Swedish public court.
